We are looking to order the chassis 743TQ-865B-SQ. If we are using active heat-sinks for the processors, do we still need the memory air-shroud, MCP-310-74301-0N?

Yes, the memory air-shroud will give additional air flow when there is no chassis air-shroud for the processors.
