I have two SYS-5012B-E servers that run with Intel P4 2.4GHz. Unfortunately I could not install any operating system.

Perhaps your 2.4GHz processors are 533MHz FSB and not 400MHz. The Intel 845 chip only supports 400MHz FSB processors.
