We bought a 2021M-T2R+B Server in January, 2008, more than 1 year ago. We want to upgrade the CPU to AMD Opteron 8378 Shanghai processors. Can we just use a BIOS update?

No, R2.01A PCB & R3.0 BIOS or above is required to support Shanghai CPU on H8DME-2. Your motherboard should be an older version and not compatible with the 8378 processor.
